Flightcare acquires Aeroporti di Roma Handling (ADRH) in Fiumicino and Ciampino.

Flightcare acquires Aeroporti di Roma Handling (ADRH), leading independent ground handling agent in the Rome Airport System.

Flightcare (an FCC subsidiary) and Aeroporti di Roma (AdR) have reached an agreement for the sale of 100% of AdR's airport ground handling services subsidiary, ADRH, to FCC, a leading construction and services company in Spain, for a total amount (equity value) of 72,5 euro million. ADHR had a net cash position of 7,7 euro million as of 30 April 2006.

The transaction is expected to close during 2006's third quarter, subject to contract conditions, including Anti - Trust Authority's clearance.

As a result from this acquisition, FCC, through its subsidiary Flightcare, becomes the leading independent ground handling agent in Roma airports (Leonardo da Vinci - Fiumicino and Giovanni Battista Pastine - Ciampino) and it represents the access of the company to the ground handling market in Italy. The transaction constitutes a key development of Flightcare's network in Europe, substantially increasing its presence in the Mediterranean area and consolidating Flightcare as one of the leading independent European ground handling agent, rendering ramp, passenger and cargo services in fifteen airports in Spain, Belgium and Italy.

ADRH will contribute to Flightcare's network a very diversified base of clients, complementary to the rest of the network, which includes of Brussels, Ostende-Bruges and Liege, as well as those in Barcelona, Alicante, Málaga, Valencia, Almería, Jerez, Fuerteventura and Madrid and Bilbao in cargo activities. With this incorporation to Flightcare's network it is foreseen that the annual revenues from the Handling Business Unit will increase to 280 euro million.
